Cooper Industries, Ltd. (Cooper), incorporated on May 22, 2001, manufactures, markets and sells its products and provides services worldwide. Cooper operates in two business segments: Electrical Products and Tools. Cooper has manufacturing facilities in 23 countries. Operations in the United States are conducted by wholly owned subsidiaries of Cooper, organized by the two business segments. Cooper generates the most non-United States revenues in Canada, Germany, France, Mexico and the United Kingdom. Cooper has operations in India, Malaysia and China and has several joint ventures with operations in China. With its two business segments, Cooper serves four markets: the industrial, commercial, utility and residential markets. Cooper also serves the electronics and telecommunications markets.

In December 2008, Cooper acquired Cyme International, a power engineering software and services provider. In February 2008, Cooper’s subsidiary, Cooper Controls (U.K.) Limited, acquired more than 98% of the outstanding shares of The MTL Instruments Group plc (MTL), a Company based in the United Kingdom. In December 2007, the Company announced the acquisitions of Sure Power Industries, Inc., OMNEX Control Systems, ULC and Roam Secure. In December 2007, Cooper acquired Illinois-based GS Metals, and the United Kingdom-based Clarity Lighting. In December 2007, it also announced the acquisition of Hyundai Explosion-Proof Electric Company (HEPEC), a South Korea-based manufacturer of explosion-proof electrical equipment. HEPEC is involved in explosion-proof glass reinforced plastic (GRP) lighting, control panels and switchgear and its products are complementary to Cooper Crouse-Hinds product offerings.

In August 2007, the Company acquired io Lighting, a light emitting diode (LED) lighting fixture company, and Powerline Communications, Inc. (PCI), a manufacturer of digital lighting control panels. In May 2007, the Company announced the acquisition of MadahCom, Inc. MadahCom is a privately owned manufacturer of secure wireless emergency control and mass notification systems. In March 2007, the Company’s subsidiary, Cooper Controls (U.K.) Limited, acquired over 93% interest in Polaron plc, a company based in the United Kingdom. In January 2007, the Company acquired WPI Interconnect Products, a New Jersey-based manufacturer of custom connectors and cable assemblies, and Cybectec, Inc., a worldwide provider of products and software systems designed to assist utilities in modernizing the automation systems.

Electrical Products

The Electrical Products segment manufactures, markets and sells electrical and circuit protection products, including fittings, support systems, enclosures, specialty connectors, wiring devices, plugs, receptacles, lighting fixtures and controls, hazardous duty electrical equipment, fuses, emergency lighting, fire detection and mass notification systems and security products for use in residential, commercial and industrial construction, maintenance and repair applications. The segment also manufactures, markets and sells products for use by utilities and in industry for electrical power transmission and distribution, including distribution switchgear, transformers, transformer terminations and accessories, capacitors, voltage regulators, surge arresters, energy automation solutions and other related power systems components.

Tools

The Tools segment manufactures, markets and sells hand tools for industrial, construction, electronics and consumer markets; automated assembly systems for industrial markets; and electric and pneumatic industrial power tools, related electronics and software control and monitoring systems for general industry, primarily automotive and aerospace manufacturers. The segment’s products are sold by a company sales force, independent distributors and retailers.
